These Terms of Service ("Terms") govern your access to and use of the website located at www.cosmiccapitalgroup.org (the "Site") and any consulting, advisory, or administrative services (collectively, the "Services") offered by Cosmic Capital Group Inc., a Wyoming corporation ("Cosmic Capital Group," "we," "our," or "us"). By accessing the Site or engaging our Services, you agree to be bound by these Terms.
Cosmic Capital Group provides professional consulting, administrative setup, and operations advisory services. We do not provide legal advice, tax advice, investment advice, banking services, lending, money transmission, or securities brokerage. Where regulated professional advice is required, we will recommend that you engage licensed professionals.
Each consulting or formation engagement is documented in a written engagement letter or statement of work signed by both parties. The engagement letter sets out the scope, deliverables, fees, payment schedule, and timing. If there is a conflict between these Terms and an engagement letter, the engagement letter controls for that engagement.
Fees are quoted in U.S. dollars and are set out in the applicable engagement letter. Payment terms are typically half due at kickoff and half due on delivery for project work, and monthly in advance for retainers. Late invoices may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. Payments are processed by our payment processor (Stripe, Inc.). Refunds are governed by our Refund Policy.
To deliver the Services effectively, you agree to: provide accurate and complete information; respond to reasonable requests for information and feedback in a timely manner; designate a primary point of contact with authority to make decisions; and comply with all applicable laws and regulations relevant to your business.
Each party agrees to keep confidential the non-public information of the other party that is marked confidential or that a reasonable person would understand to be confidential. Confidential information may be used only to perform under the engagement and may be disclosed only as required by law or to advisors under similar duties of confidentiality.
Upon full payment of all fees due, you receive a non-exclusive, perpetual license to use the deliverables we create for you for your internal business purposes. We retain ownership of our pre-existing materials, templates, methodologies, and know-how. Nothing in these Terms transfers ownership of third-party intellectual property.
The Site and Services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Site or Services beyond those required by law. We do not guarantee any specific business outcome, financial result, or regulatory determination.
To the maximum extent permitted by law, Cosmic Capital Group's total aggregate liability arising out of or related to these Terms or the Services shall not exceed the fees paid by you for the specific engagement giving rise to the claim during the twelve (12) months preceding the event. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.
You agree to defend, indemnify, and hold harmless Cosmic Capital Group from and against any third-party claims, damages, liabilities, and reasonable attorneys' fees arising out of your breach of these Terms, your misuse of the Services, or your violation of applicable law.
These Terms remain in effect while you use the Site or our Services. Either party may terminate an engagement upon written notice as set out in the applicable engagement letter. Upon termination, you remain responsible for fees earned through the effective date of termination.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in Laramie County, Wyoming, administered by the American Arbitration Association under its Commercial Arbitration Rules.
These Terms, together with the applicable engagement letter, constitute the entire agreement between you and Cosmic Capital Group regarding the subject matter. If any provision is held unenforceable, the remaining provisions remain in force. Our failure to enforce any right is not a waiver. These Terms are binding on the parties and their successors and permitted assigns.
